Infinity Financial CRM Terms of Service

These Terms of Service ("Terms") govern access to and use of the Infinity Financial customer relationship management system, including its website, applications, tools, email integrations, client-management features, and related services (collectively, the "CRM" or "Application").

The CRM is operated by Infinity Financial ("Infinity Financial," "we," "us," or "our") and is intended solely for authorized individuals who have been granted access by Infinity Financial.

By accessing, logging into, connecting an account to, or otherwise using the CRM, you agree to these Terms and any policies incorporated into them by reference.

If you do not agree to these Terms, you must not use the CRM.

1. Purpose of the CRM

​

The Infinity Financial CRM is a private business system designed to assist authorized users in managing client relationships and related business activities.

Depending on the user's role and permissions, CRM functionality may include:

  • maintaining client contact and relationship information;

  • managing prospective and existing client records;

  • tracking client status and workflow stages;

  • recording client interactions and activity;

  • managing tasks, reminders, and follow-up activities;

  • viewing and managing client-related email communications;

  • sending and replying to client emails;

  • maintaining client communication history;

  • managing assigned clients and workloads; and

  • accessing other business tools made available by Infinity Financial.

The CRM is not a public service. Access is limited to individuals specifically authorized by Infinity Financial.

2. Eligibility and Authorized Access

​

You may use the CRM only if Infinity Financial has granted you access and your access remains active.

Access may be granted to employees, representatives, contractors, agents, administrators, or other individuals who require access for legitimate Infinity Financial business purposes.

Your access is personal to you.

You may not:

  • permit another person to use your account;

  • share your username, password, authentication credentials, or session;

  • access the CRM using another user's account;

  • impersonate another user;

  • attempt to obtain access to information or functionality for which you have not been authorized; or

  • circumvent access controls or other security measures.

Infinity Financial may determine, modify, restrict, suspend, or revoke access at any time based on business requirements, role, authorization, security considerations, compliance requirements, or these Terms.

3. User Accounts and Account Security

​

Users are responsible for maintaining the confidentiality and security of their CRM account credentials.

You must use reasonable security practices when accessing the CRM, including protecting passwords and devices used to access the Application.

You must promptly notify Infinity Financial if you become aware of or reasonably suspect:

  • unauthorized access to your CRM account;

  • disclosure or compromise of your credentials;

  • unauthorized access to client information;

  • loss or theft of a device containing or providing access to CRM information;

  • suspicious activity involving your account; or

  • any other actual or suspected security incident involving the CRM.

You must not knowingly allow CRM credentials, client information, Google authorization credentials, or other protected information to be exposed to unauthorized persons.

4. Business Use Only

​

The CRM may be used only for authorized Infinity Financial business purposes.

Users must use the CRM in accordance with:

  • these Terms;

  • applicable Infinity Financial policies and procedures;

  • applicable contractual obligations;

  • professional and regulatory requirements applicable to their role; and

  • applicable laws and regulations.

Users must not use the CRM for unauthorized personal, commercial, unlawful, deceptive, fraudulent, abusive, or harmful purposes.

5. Client Information and Confidentiality

​

The CRM may contain confidential and sensitive information relating to clients, prospective clients, staff, representatives, business operations, and other individuals.

Users must access client information only where necessary for legitimate and authorized business purposes.

Users must not:

  • access client records without a legitimate business need;

  • disclose client information to unauthorized persons;

  • copy, export, download, transmit, or retain client information except where authorized;

  • use client information for personal purposes;

  • use client information for an unauthorized business or commercial purpose; or

  • attempt to access client information outside the scope of their authorization.

Access to the CRM does not grant ownership of client information or an unrestricted right to use that information.

Any obligation of confidentiality applicable to a user through employment, contract, professional obligations, company policy, or law continues to apply when using the CRM.

6. Accuracy of Information

​

Users are responsible for taking reasonable care to ensure that information they enter, modify, or record in the CRM is accurate and appropriate.

The CRM may assist with organization, workflow, reminders, synchronization, or automated activity creation, but users remain responsible for reviewing information relevant to their work.

Users should not assume that:

  • a client record is complete;

  • an automated task or reminder captures every required action;

  • synchronized information includes every communication;

  • displayed information is free from errors or delays; or

  • CRM functionality replaces professional judgment, required documentation, compliance procedures, or independent verification where required.

Errors or inaccuracies should be corrected or reported as appropriate.

7. Google Account and Gmail Integration

​

Certain CRM functionality requires an authorized user to connect a Google account through Google's OAuth authorization process.

The CRM may require Gmail authorization as a condition of accessing functionality where email integration is necessary for the user's role.

When connecting a Google account, the user is redirected to Google to review and authorize the permissions requested by the Application.

Infinity Financial does not require users to provide their Google account password to the CRM.

The CRM currently requests access to Google services for specific email functionality, including permissions necessary to read client-related Gmail communications and send Gmail messages through the connected account.

The Application's access to and use of Google user data is described in the Infinity Financial CRM – Google API Privacy Policy, which is incorporated into these Terms by reference.

8. Gmail Read Access

​

Where authorized by the user, the CRM may access Gmail information necessary to provide client communication features.

This may include retrieving information such as:

  • sender and recipient information;

  • subject lines;

  • message and thread identifiers;

  • timestamps;

  • message previews or content; and

  • other information necessary to associate email communications with CRM clients.

This functionality is intended to allow authorized users to view and maintain relevant client communication history within the CRM and support related workflow functions.

Users must not use CRM email functionality to access email information for an unauthorized purpose.

9. Sending Email Through Gmail

​

Where authorized by the user, the CRM may allow users to send new emails or replies through their connected Gmail account.

Users are responsible for emails they initiate through the CRM.

Before sending an email, users are responsible for confirming, as appropriate:

  • the intended recipient;

  • the accuracy of the recipient's email address;

  • the content of the message;

  • that the communication is appropriate and authorized;

  • that confidential information is handled appropriately; and

  • that the communication complies with applicable company policies, professional requirements, and law.

The availability of email functionality within the CRM does not remove the user's responsibility for the communications they send.

10. Google Authorization and Revocation

​

Users authorize Google account access through Google's own authorization process.

A user may be able to review or revoke the Application's access through their Google Account settings.

Revoking authorization may prevent Gmail-related CRM functionality from operating and, where Gmail integration is required for the user's role, may affect the user's ability to use some or all of the CRM.

Infinity Financial may also invalidate, remove, or require renewed Google authorization where necessary for security, technical, compliance, or business reasons.

Revoking Google authorization does not necessarily delete business records or information previously stored within the CRM where that information must or may be retained for legitimate business, regulatory, compliance, security, recordkeeping, or legal purposes.

11. Google API User Data

​

Infinity Financial's collection, use, storage, disclosure, retention, and handling of information obtained through Google API Services is governed by the Infinity Financial CRM – Google API Privacy Policy.

The Application's use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including applicable Limited Use requirements.

Google user data will not be sold or used for advertising, unauthorized profiling, or purposes unrelated to the Application's disclosed functionality.

Where there is a conflict between these Terms and the Google API Privacy Policy regarding the handling of Google user data, the Google API Privacy Policy will govern that handling.

12. Email Synchronization and Automated Activity

​

The CRM may automatically process information to assist users with workflow and client management.

For example, the Application may:

  • associate email communications with client records;

  • add email activity to a client communication history;

  • organize communications into threads;

  • identify incoming client communications;

  • create follow-up tasks based on incoming communications; or

  • display reminders or other workflow information.

Automated functionality is intended as an administrative aid.

Users remain responsible for managing their work, reviewing client communications, completing required follow-up, maintaining appropriate records, and complying with applicable professional and regulatory requirements.

The absence of an automated task, alert, email, record, or notification does not mean that no action is required.

13. Acceptable Use

​

Users must not use the CRM to:

  • violate applicable law or regulation;

  • engage in fraudulent, deceptive, abusive, discriminatory, harassing, or unlawful conduct;

  • send spam or unauthorized bulk communications;

  • send communications that the user is not authorized to send;

  • access another person's email or CRM data without authorization;

  • upload or distribute malware or harmful code;

  • interfere with the security or operation of the CRM;

  • attempt to bypass access controls;

  • probe, scan, or test system vulnerabilities without authorization;

  • reverse engineer or attempt to obtain unauthorized access to application code, credentials, tokens, databases, or infrastructure;

  • scrape or systematically extract CRM information without authorization;

  • use CRM data to build an unauthorized database or service;

  • sell, disclose, or commercially exploit client information or Google user data; or

  • use the CRM in a manner inconsistent with its intended business purpose.

14. Privacy and Personal Information

​

Use of the CRM may involve the collection, use, storage, and processing of personal information.

Users must handle personal information in accordance with applicable Infinity Financial privacy and information-management policies and applicable privacy laws and requirements.

Users must access only information reasonably necessary for their authorized duties and must use that information only for appropriate business purposes.

The handling of Google user data is addressed separately in the Infinity Financial CRM – Google API Privacy Policy.

15. Business Records

​

Information entered, generated, synchronized, or maintained through the CRM in connection with Infinity Financial business may constitute a business record.

Subject to applicable law, contractual obligations, and company policies, such records may remain within Infinity Financial systems after a user's access ends.

Termination of a user's account does not automatically require deletion of business records associated with clients, communications, transactions, compliance, or other legitimate business activities.

Users should not delete, alter, conceal, or remove business records contrary to applicable retention requirements, company policy, contractual obligations, or law.

16. Ownership and Intellectual Property

​

The CRM, including its design, functionality, software, workflows, interfaces, branding, documentation, and other proprietary materials, is owned by or licensed to Infinity Financial, except where otherwise stated.

These Terms grant users only a limited, revocable right to access and use the CRM for authorized business purposes.

No ownership interest in the CRM or Infinity Financial intellectual property is transferred to users.

Users may not copy, reproduce, distribute, sell, sublicense, publish, reverse engineer, or create derivative works from the CRM except where expressly authorized or permitted by law.

Third-party products and services integrated with the CRM remain subject to the intellectual property rights and terms of their respective owners.

17. Third-Party Services

​

The CRM may rely on or integrate with third-party services, including Google and Wix, to provide certain functionality.

Third-party services are operated independently and may be subject to their own terms, privacy policies, availability, and technical requirements.

Infinity Financial does not control the operation of third-party services and cannot guarantee that any third-party service will remain available, unchanged, or compatible with the CRM.

Changes, interruptions, restrictions, or outages affecting third-party services may affect CRM functionality.

18. Availability and Changes to the CRM

​

Infinity Financial may modify, update, replace, suspend, restrict, or discontinue any part of the CRM at any time.

The CRM may occasionally be unavailable because of:

  • maintenance;

  • updates;

  • technical issues;

  • third-party service interruptions;

  • security events;

  • network or internet failures; or

  • circumstances outside Infinity Financial's reasonable control.

Where practical, Infinity Financial may provide notice of significant changes or planned interruptions, but uninterrupted availability is not guaranteed.

19. Security

​

Infinity Financial takes reasonable measures designed to protect the CRM and information processed through it.

However, no information system, online service, or method of electronic transmission can be guaranteed to be completely secure or continuously available.

Users are an important part of maintaining system security and must comply with account-security, confidentiality, device-security, and incident-reporting requirements applicable to their role.

Users must not attempt to access authentication tokens, system credentials, secrets, backend systems, or other security-sensitive information unless specifically authorized to do so.

20. Suspension and Termination of Access

​

Infinity Financial may suspend, restrict, or terminate a user's CRM access where appropriate, including when:

  • the user's employment, contract, appointment, affiliation, or authorization ends or changes;

  • access is no longer required for the user's role;

  • the user violates these Terms or applicable policies;

  • misuse or unauthorized activity is suspected;

  • there is a security or privacy concern;

  • continued access could create legal, regulatory, operational, or reputational risk; or

  • Infinity Financial otherwise determines that access should be modified or discontinued.

Upon termination of access, the user must cease using the CRM and must not attempt to regain access without authorization.

Any confidentiality, privacy, recordkeeping, intellectual property, or other obligations that by their nature continue after access ends remain in effect.

21. User Responsibility

​

Users are responsible for their use of the CRM and actions performed through their accounts.

The CRM is a business-support and administrative tool. It does not replace a user's professional judgment, responsibilities, regulatory obligations, licensing requirements, compliance requirements, or duty to follow Infinity Financial policies and procedures.

Users remain responsible for reviewing information and making appropriate decisions within the scope of their role.

22. No Professional Advice by the Application

​

Information, reminders, workflow suggestions, automated tasks, records, or other outputs generated or displayed by the CRM are intended to support authorized business activities.

The CRM itself does not independently provide financial, investment, insurance, legal, tax, accounting, or other professional advice.

Users are responsible for ensuring that advice, recommendations, representations, and services provided to clients are appropriate and delivered by properly authorized individuals in accordance with applicable requirements.

23. Disclaimer of Warranties

 

To the extent permitted by applicable law, the CRM is provided on an "as is" and "as available" basis.

Infinity Financial does not warrant that the CRM will:

  • operate without interruption;

  • be completely error-free;

  • detect every incoming communication;

  • synchronize all information immediately;

  • generate every required task or reminder;

  • be free from third-party outages or failures; or

  • meet every user's individual requirements.

Nothing in this section excludes warranties or rights that cannot lawfully be excluded.

24. Limitation of Liability

​

To the extent permitted by applicable law, Infinity Financial will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses arising from or related to use of or inability to use the CRM, including losses resulting from service interruptions, third-party service failures, unauthorized use caused by a user's failure to protect credentials, or reliance on automated CRM functionality.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

25. Indemnification

​

To the extent permitted by applicable law and any applicable employment, contractor, or representative agreement, users may be responsible for losses, liabilities, claims, or expenses arising from their unauthorized or unlawful use of the CRM, violation of these Terms, infringement of third-party rights, or unauthorized disclosure or misuse of information.

This section does not alter rights or obligations that cannot lawfully be modified by these Terms.

26. Monitoring, Audit, and System Administration

​

To the extent permitted by applicable law and Infinity Financial policy, CRM activity may be logged, reviewed, or audited for purposes including:

  • security;

  • troubleshooting;

  • system administration;

  • compliance;

  • privacy protection;

  • investigation of suspected misuse;

  • maintaining business records; and

  • protecting clients, users, and Infinity Financial.

Users should use the CRM as a business system and should not expect business activity conducted through the CRM to be treated as personal activity.

This provision does not authorize monitoring beyond what is permitted by applicable law or Infinity Financial policy.

27. Changes to These Terms

​

Infinity Financial may update these Terms from time to time to reflect changes to:

  • CRM functionality;

  • business practices;

  • legal or regulatory requirements;

  • security requirements;

  • third-party integrations; or

  • applicable policies.

The Last Updated date at the beginning of these Terms will identify the latest revision.

Where appropriate or required, users may be notified of material changes.

Continued use of the CRM after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by applicable law.

28. Relationship to Other Agreements and Policies

​

These Terms govern use of the Infinity Financial CRM and do not replace other agreements or policies that apply to a user's relationship with Infinity Financial.

Users may also be subject to employment agreements, contractor or representative agreements, confidentiality obligations, privacy policies, compliance policies, codes of conduct, information-security requirements, and other applicable policies.

If another applicable agreement imposes stricter requirements concerning confidentiality, security, client information, compliance, or professional conduct, those requirements continue to apply.

29. Governing Law

​

These Terms are governed by the laws of governed by the laws of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.

Any dispute relating to these Terms or use of the CRM will be subject to the jurisdiction of the courts of  Ontario, except where applicable law requires otherwise.

30. Severability

​

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

​

31. No Waiver

​

A failure by Infinity Financial to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

By accessing or using the Infinity Financial CRM, you acknowledge that you have read and understood these Terms of Service and agree to comply with them, together with applicable Infinity Financial policies and the Infinity Financial CRM – Google API Privacy Policy.
